By accessing, browsing, or using MerberReviews, you agree to be bound by these Terms and any policies referenced here. If you do not agree, do not access or use the Platform.

MerberReviews is a discovery and review platform that provides opinions, recommendations, listings, submitted content, business information, and user-facing tools to help people discover food, activities, businesses, and experiences. MerberReviews is owned and operated by Merber Holdings LLC.

Reviews, ratings, rankings, recommendations, tags, scores, comments, “Decide For Me” suggestions, and other content on the Platform may include opinions. Opinions are subjective and experiences may vary.

MerberReviews does not guarantee that a user will have the same experience as any review, recommendation, or listing suggests. We do not guarantee business quality, safety, pricing, availability, hours, menu accuracy, service quality, or results. Users should make their own decisions before visiting or purchasing from a business.

MerberReviews does not provide legal, financial, health, safety, dietary, travel, or professional advice. All information on the Platform is for general discovery and entertainment/informational purposes only.

If you create an account, you are responsible for:

• Maintaining the security of your account and credentials
• Providing accurate and current information
• Not sharing login access
• All activity that occurs under your account

MerberReviews may suspend or terminate accounts that violate these Terms.

The Platform may allow you to submit content including reviews, comments, ratings, photos, videos, business submissions, suggested edits, voice memos, receipts, verification uploads, claims, messages, and other materials (“User Content”).

You represent that you have the right to submit your User Content. You agree not to submit content that is false, fake, misleading, defamatory, harassing, threatening, illegal, infringing, private or confidential without permission, spam, AI-generated fake reviews, paid or incentivized without disclosure, impersonating another person or business, or manipulated to unfairly harm or promote any business.

By submitting User Content, you grant Merber Holdings LLC and MerberReviews a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, display, reproduce, publish, distribute, modify, adapt, edit, translate, promote, and create derivative works from that content in connection with operating, improving, marketing, and promoting MerberReviews and Merber Holdings LLC.

You retain ownership of your original User Content unless separately transferred, but MerberReviews receives the permissions above.

MerberReviews branding, design, layout, ratings, review formats, text written by MerberReviews, graphics, logos, features, software, filters, recommendation systems, “Decide For Me,” business tools, and other Platform content are owned by Merber Holdings LLC or its licensors and protected by applicable intellectual-property laws.

You may not copy, scrape, reproduce, resell, republish, or otherwise misuse the Platform or its content without our prior written permission.

Official MerberReviews reviews, ratings, tags, recommendations, comments, and opinions are protected editorial content. Businesses may not demand removal or alteration of honest opinions simply because they disagree with them.

MerberReviews may update, edit, remove, or revise editorial content at its discretion.

The following are strictly prohibited:

• Fake reviews or purchased reviews
• Review swapping and review farms
• AI-generated fake testimonials
• Impersonating another user or business
• Businesses reviewing themselves without clear disclosure
• Employees posting reviews without disclosure
• Paying for positive reviews without disclosure
• Threatening users over honest reviews
• Suppressing negative reviews
• Manipulating ratings, favorites, comments, or engagement
• Creating fake accounts to boost or hurt a business

Violations may result in content removal, account suspension, owner portal restrictions, business listing restrictions, termination, and/or legal action.

MerberReviews may display business names, addresses, phone numbers, websites, menus, hours, photos, categories, attributes, and related information. This information may come from public sources, business submissions, user submissions, owner submissions, MerberReviews research, and third-party links or data.

MerberReviews does not guarantee that all business information is accurate, complete, current, or error-free. Businesses may request corrections, but MerberReviews retains final editorial discretion.

Approved business owners may manage certain business profile information through the owner portal, subject to approval status and subscription tier. Business owners agree to:

• Provide accurate business information
• Only claim businesses they are authorized to represent
• Keep information current
• Not impersonate another business or person
• Not misuse owner tools
• Not access another business without approval
• Not bypass tier restrictions
• Not send unauthorized notifications or promotional campaigns

MerberReviews may approve, reject, suspend, revoke, or limit business-owner access at any time.

MerberReviews may offer paid features including business subscriptions, featured or sponsored placements, homepage advertising, promotional campaigns, notification packages, analytics, business tools, and other paid services.

• Features may vary by tier.
• Pricing may change.
• MerberReviews may modify, pause, or discontinue features at any time.
• Paid placement does not guarantee views, clicks, sales, customers, revenue, or ranking results.
• Sponsored or featured placement does not guarantee a positive review.
• MerberReviews maintains editorial independence.
• Businesses cannot buy a positive opinion or rating.

Recurring billing.

Paid business plans are sold as recurring subscriptions. When a business owner starts a paid plan, they authorize Merber Holdings LLC and its payment processor to charge the payment method on file, automatically, at the start of each billing period (monthly or annual, as selected) until the subscription is cancelled. The price shown at checkout, plus any applicable tax, is the amount charged. If a plan price is not published in the Platform, that plan is not on sale and no charge can be made.

Payment processing and card data.

Payments are collected through a third-party payment processor using provider-hosted payment forms. Merber Holdings LLC does not receive, handle, or store full payment card numbers. We receive limited payment metadata (such as subscription status, billing period, card brand and last four digits, invoice amounts, and payment success or failure) in order to operate the subscription. The processor's own terms and privacy policy apply to its handling of payment data.

Upgrades, downgrades, and cancellation.

• Upgrades take effect once payment succeeds; the processor may apply proration for the remainder of the current period.
• Downgrades and cancellations take effect at the end of the period already paid for. Paid features remain available until then, and are not refunded for unused time unless required by law.
• Cancellation does not delete a business listing, verified customer reviews, or ratings. The business returns to the free Basic plan.
• If a renewal payment fails, we may keep paid features active for a short grace period while the processor retries. If payment is not resolved, the business returns to the free Basic plan.
• MerberReviews may grant complimentary access at its discretion and may end it at any time.

Taxes and refunds.

Prices are exclusive of tax unless stated otherwise. Sales tax, VAT, GST or similar taxes are calculated and collected at checkout where applicable. Except where required by law, fees are non-refundable, including for partial periods and for periods in which paid features were not used. Refund requests may be sent to support@merberreviews.com and are considered case by case.

What money never buys.

No subscription, promotion, or payment of any kind changes a star rating, removes or hides a legitimate customer review, affects Verified Visit status, or alters how verified customer feedback is calculated.

Some placements on the Platform may be sponsored, featured, promoted, or paid. MerberReviews will label paid or sponsored content where appropriate. Paid promotion does not mean MerberReviews guarantees or endorses the business. Editorial reviews remain separate from paid advertising.

Users may receive emails, texts, push notifications, business updates, deal alerts, and other communications based on account activity, favorite businesses, notifications they sign up for, business updates, platform updates, marketing preferences, and legal or security notices.

Users may unsubscribe from marketing communications where legally required. Business owners may not send unrestricted communications and may only use messaging tools allowed by their subscription tier and approved platform rules.

MerberReviews may offer or add verification features including receipt verification, QR verification, business-location verification, review verification, and uploaded proof. Verification is intended to improve trust but does not guarantee that every statement is true, complete, or error-free. MerberReviews may accept, reject, or revoke verification at its discretion.

You agree not to:

• Break any applicable law
• Scrape or harvest content from the Platform
• Hack, disrupt, or overload the Platform
• Abuse or misuse the system
• Upload malware or malicious code
• Harass, threaten, or harm others
• Impersonate any person or business
• Submit false or misleading information
• Manipulate recommendations, ratings, or engagement
• Abuse promotions or discounts
• Reverse engineer or decompile the Platform
• Use bots, scripts, or automation without permission
• Interfere with security features
• Attempt to access unauthorized pages, admin systems, owner portals, or data

The Platform may link to third-party websites and services such as restaurants, activity providers, delivery platforms, reservation platforms, Google Maps, social media, payment providers, and business websites.

Merber Holdings LLC and MerberReviews are not responsible for third-party websites, pricing, availability, policies, content, safety, quality, or transactions.

You are responsible for confirming ingredients, allergens, dietary restrictions, hours, prices, safety, age restrictions, and availability directly with any business before visiting or purchasing.

MerberReviews is not responsible for allergic reactions, food quality, injuries, illness, travel issues, bad experiences, pricing changes, closures, or service disputes. You visit businesses and participate in activities at your own risk.

MerberReviews may edit, reject, remove, hide, limit, or moderate any content at its discretion, including for policy violations, inaccurate information, spam, abuse, legal risk, fake reviews, harassment, inappropriate content, business-owner misuse, or platform integrity concerns. MerberReviews is not required to host or continue displaying any content.

If you believe content on MerberReviews infringes your intellectual property rights, please contact us at support@merberreviews.com with a description of the material, its location on the Platform, your contact information, and a statement of your rights. We will review complaints and take appropriate action.

Use of MerberReviews is also subject to our Privacy Policy. If the Privacy Policy has not yet been published, it will be added separately and linked from the site footer.

The Platform is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Merber Holdings LLC and MerberReviews disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

• Uninterrupted or error-free service
• Accurate results or recommendations
• Accurate business information
• Availability of any business
• User satisfaction or specific outcomes
• Security beyond reasonable efforts
• That all content is current, complete, or reliable

To the fullest extent permitted by law, Merber Holdings LLC, MerberReviews, and their respective founders, owners, employees, contractors, partners, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, business interruption, bad experiences, third-party disputes, food or activity issues, user-generated content, business-owner content, or reliance on any recommendation, arising out of or related to your use of the Platform.

Where liability cannot be excluded by law, our aggregate liability to you is limited to the greater of (a) the amount you paid to MerberReviews in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

You agree to defend, indemnify, and hold harmless Merber Holdings LLC, MerberReviews, and their respective founders, owners, employees, contractors, partners, affiliates, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Platform
• Your User Content
• Your business listing information
• Your violation of these Terms
• Your violation of the rights of others
• Your illegal or harmful conduct

MerberReviews may suspend, limit, revoke, or terminate access to the Platform for users or businesses that violate these Terms or create risk for the Platform. This includes user accounts, business-owner portal access, claimed listing access, paid features, promotional tools, and notification access.

Merber Holdings LLC may update these Terms from time to time. Continued use of MerberReviews after updates take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Additional dispute-resolution terms, including any arbitration, venue, or class-action waiver provisions, may be added in a future version of these Terms.
